Terms of Service

1. Acceptance of Terms

By accessing or using the Unvento platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and Unvento LLC ("Unvento," "we," "us," or "our"), a company registered in Georgia. We may update these Terms from time to time, and your continued use of the Platform constitutes acceptance of the revised Terms.

2. Platform Use

Unvento is a marketplace that connects event planners ("Clients") with service providers including venue owners, catering companies, and equipment suppliers ("Vendors"). Unvento is not itself a party to any agreement between Clients and Vendors.

  • You must be at least 18 years old to use the Platform.
  • You may not use the Platform for any unlawful purpose or in any manner inconsistent with these Terms.
  • You may not attempt to gain unauthorised access to any part of the Platform or its related systems.
  • You may not use automated tools to scrape, crawl, or extract data from the Platform without prior written permission.
  • You may not impersonate any person or entity or misrepresent your affiliation with any person or entity.

3. User Accounts

To access certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information and to update your information as necessary.

  • You are responsible for safeguarding your password and for all activity that occurs under your account.
  • You must notify us immediately of any unauthorised use of your account.
  • We reserve the right to suspend or terminate your account if you violate these Terms or if we determine that your account poses a security risk.
  • You may not create more than one personal account without our express written permission.

4. Bookings & Payments

When a Client submits a booking request through the Platform, they are making an offer to the Vendor. A binding contract between the Client and Vendor is formed only when the Vendor accepts the booking.

  • All prices displayed on the Platform are in Georgian Lari (₾) unless otherwise stated.
  • Unvento collects payment on behalf of Vendors and releases funds to Vendors after service delivery, minus our service fee.
  • Our service fee ranges from 5% to 15% of the booking value, as disclosed at checkout.
  • Payments are processed by certified third-party payment processors. Unvento does not store payment card data.
  • All bookings are subject to the specific cancellation policy of the relevant Vendor, as displayed on their listing.

5. Vendor Conduct

Vendors registered on Unvento agree to the following additional obligations:

  • Provide accurate and complete information about their services, capacity, pricing, and availability.
  • Honour all confirmed bookings unless a force majeure event prevents service delivery.
  • Maintain all required licences, permits, and insurance for the services they offer.
  • Respond to booking inquiries within 24 hours during business days.
  • Not solicit Clients to transact outside the Platform for services originated on Unvento for a period of 12 months.
  • Comply with all applicable Georgian health, safety, and consumer protection laws.

6. Client Conduct

Clients using the Platform agree to:

  • Provide accurate event information including guest count, event type, and special requirements.
  • Treat venue staff and vendor personnel with respect during site visits and events.
  • Comply with all venue rules, local noise regulations, and applicable laws during events.
  • Leave venues in the condition they were found, and compensate Vendors for any damage caused by Clients or their guests.
  • Not post false, misleading, or defamatory reviews of Vendors.

7. Cancellations & Refunds

Cancellation and refund policies are set by individual Vendors and are clearly displayed on each listing before booking. Common policies include:

  • Flexible: Full refund if cancelled at least 7 days before the event.
  • Moderate: Full refund if cancelled at least 14 days before the event; 50% refund within 14 days.
  • Strict: 50% refund if cancelled at least 30 days before the event; no refund within 30 days.

In cases of force majeure (natural disasters, government-mandated restrictions), Unvento may apply its Extenuating Circumstances Policy and facilitate a full refund regardless of the Vendor's policy. Unvento's service fee is non-refundable once a booking is confirmed.

8. Intellectual Property

All content on the Platform, including text, graphics, logos, icons, images, and software, is the property of Unvento or its content suppliers and is protected by Georgian and international copyright law.

By submitting content to the Platform (reviews, photos, descriptions), you grant Unvento a non-exclusive, royalty-free, worldwide licence to use, display, and reproduce that content in connection with our services.

You represent that you own or have the necessary rights to any content you submit, and that such content does not infringe any third-party intellectual property rights.

9. Limitation of Liability

Unvento is a marketplace platform and is not responsible for the actions, services, or conduct of any Vendor or Client. To the maximum extent permitted by applicable law:

  • Unvento's total liability for any claim arising from your use of the Platform shall not exceed the greater of (a) the amount you paid to Unvento in the 12 months preceding the claim, or (b) ₾500.
  • Unvento is not liable for any indirect, incidental, special, consequential, or punitive damages.
  • Unvento makes no warranties regarding the quality, safety, or legality of any Vendor's services.

10. Governing Law

These Terms are governed by the laws of Georgia, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Tbilisi, Georgia.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
